Terms of Service

The rules and guidelines for using SperaSync.

01.Acceptance of Terms

By accessing or using SperaSync ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users including workspace admins, team members and any person accessing a client view link.

02.Description of Service

SperaSync is a cloud-based project management platform that allows agencies, freelancers and teams to manage projects, tasks and client communication in one place. The Service is provided on a subscription basis. Features available to you depend on your subscription plan.

03.Account Registration

  • Workspace accounts are created by SperaSync on behalf of subscribers after payment is confirmed.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must notify us immediately at sperasync@gmail.com if you suspect unauthorized access to your account.
  • You are responsible for all activities that occur under your account.
  • You must provide accurate and complete information when your account is set up.
  • One subscription covers one workspace. Multiple workspaces require separate subscriptions.

04.Subscription and Payment

  • SperaSync offers multiple subscription plans. The current plans and pricing are displayed on our website.
  • Payment is collected manually - you will be contacted by our team after submitting an inquiry.
  • Subscriptions are activated manually by our team after payment confirmation.
  • Subscription periods begin on the activation date set by SperaSync.
  • We reserve the right to change pricing with 30 days notice to existing subscribers.
  • Failure to renew your subscription will result in your workspace being locked at the end of the subscription period.
  • We will send reminder emails 3 days and 1 day before your subscription expires.

05.Acceptable Use

  • You may only use SperaSync for lawful business purposes.
  • You must not use the Service to store, transmit or share illegal, harmful, defamatory or offensive content.
  • You must not attempt to gain unauthorized access to any part of the Service or other users' data.
  • You must not use the Service to send spam, phishing emails or any unsolicited communications.
  • You must not reverse engineer, decompile or attempt to extract the source code of the Service.
  • You must not use the Service in a way that could damage, disable or overburden our infrastructure.
  • You must not share your login credentials with unauthorized persons.
  • Client view links must only be shared with your actual clients - not made publicly available.

06.User Content

  • You retain ownership of all content you create in SperaSync including projects, tasks, comments and uploaded files.
  • By uploading content, you grant SperaSync a limited license to store and display that content as necessary to provide the Service.
  • You are solely responsible for the content you upload and share.
  • We do not monitor user content but reserve the right to remove content that violates these Terms.
  • You must not upload content that infringes on third-party intellectual property rights.
  • Maximum file size per upload is 100MB. Storage limits apply based on your subscription plan.

07.Plan Limits and Fair Use

  • Each subscription plan includes limits on the number of users, projects and storage.
  • Starter Plan: 1 workspace, 25 projects, 5 users, 5GB storage.
  • Growth Plan: 1 workspace, 25 projects, 15 users, 20GB storage.
  • Agency Plan: 1 workspace, unlimited projects, unlimited users, 50GB storage.
  • Exceeding plan limits will prevent new additions until you upgrade or free up space.
  • We reserve the right to suspend accounts that abuse the Service or circumvent plan limits.

08.Client View Links

  • Workspace admins can generate unique read-only links to share specific projects with their clients.
  • Client view links expire after 60 days from generation.
  • You are responsible for managing and revoking client view links appropriately.
  • Client view links should only be shared with intended recipients.
  • SperaSync is not responsible for unauthorized access resulting from shared client view links.

09.Service Availability

  • We aim to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service.
  • Planned maintenance will be communicated in advance where possible.
  • We are not liable for losses caused by Service downtime or interruptions.
  • In the event of extended downtime exceeding 24 hours, we will extend affected subscriptions at our discretion.

10.Termination

  • You may terminate your subscription at any time by contacting us at sperasync@gmail.com.
  • We reserve the right to suspend or terminate accounts that violate these Terms without prior notice.
  • Upon termination, your workspace and all associated data will be deleted within 30 days.
  • We reserve the right to terminate the Service with 30 days notice to all subscribers.

11.Limitation of Liability

  • SperaSync is provided "as is" without warranties of any kind, express or implied.
  • We are not liable for any indirect, incidental, special or consequential damages arising from your use of the Service.
  • Our total liability to you shall not exceed the amount you paid us in the 3 months preceding the claim.
  • We are not liable for data loss - you are responsible for maintaining backups of critical data.
  • We are not liable for actions of third-party services we use including Supabase, Vercel and Gmail.

12.Intellectual Property

  • SperaSync, its logo, design and all software are the intellectual property of ClicknChill.
  • You may not copy, modify, distribute or create derivative works of SperaSync without our written permission.
  • You retain all rights to your content uploaded to SperaSync.
  • Feedback and suggestions you provide may be used by us to improve the Service without obligation to you.

13.Modifications to Terms

We reserve the right to modify these Terms at any time. Significant changes will be communicated by email to workspace admins with at least 14 days notice. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14.Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms or use of SperaSync shall be resolved through negotiation first. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts in India.
